Terms and Conditions of Service

Important notice

Please read these Terms carefully before using Agentic Cart. By connecting your Shopify store and accessing the Service, you agree to be bound by these Terms. These Terms constitute a legally binding agreement between you (the Merchant) and Creativity Insight UK Ltd.

1. Definitions

Agentic Cart, we, us, our: Creativity Insight UK Ltd, operating the Service at app.agentic-cart.com.
Service: The Agentic Cart application, including AI agents, dashboards, recommendation engines, and APIs.
Merchant, you, your: The person or business that installs the Service and connects Shopify stores.
Store: A Shopify store connected via OAuth.
Store Data: Inventory, order history, product data, and advertising spend from connected platforms.
Recommendation: An actionable suggestion from an Agent for review, approval, rejection, or deferral.
Free Trial: 14-day period from first Store connection, limited to three monitored SKUs.

2. The Service

2.1 What the Service does

Agentic Cart connects to your Store and runs the Supply Readiness Agent to monitor inventory and order velocity and generate reorder recommendations. Additional Agents (Demand Creation and Fulfilment) are available on the Growth Plan when activated.

2.2 Nature of Recommendations

All Recommendations are advisory only. You remain solely responsible for operational and commercial decisions, including whether to act on any Recommendation.

2.3 Standalone application

The Service operates at app.agentic-cart.com and is not embedded in Shopify Admin.

2.4 Infrastructure and data residency

Currently hosted on Vercel, Railway, and Supabase (EU). We intend to migrate to Google Cloud Platform in europe-west2 (London). Store Data is processed within the EEA or UK.

3. Eligibility and Account Registration

By using the Service, you represent that you are at least 18, have authority to bind your business, hold an active Shopify merchant account as account_owner, and your use is lawful.

Your Account is created when you complete OAuth and onboarding. Each store domain gets one Free Trial only. Invitations are valid for 7 days.

Notify us immediately at support@agentic-cart.com if you become aware of unauthorised access.

4. Shopify Integration and Data Access

4.1 OAuth authorization

The Service accesses Store Data exclusively through Shopify OAuth 2.0.

4.2 Data accessed

Products and variants (including inventory quantities).
Order history — units sold, revenue, SKU identifiers, order dates (90-day window). No customer names or emails stored.
Shop configuration (domain, plan, account owner).
Advertising integrations are not available in the current version.

4.3 Background synchronization

Nightly sync uses an encrypted offline access token. Agents run without requiring active login.

4.4 App removal

On app/uninstalled we cease sync and mark the connection inactive. Data retention follows our Privacy Policy.

4.5 GDPR webhooks

customers/data_request: we provide any personal data held about a customer.
customers/redact: we delete customer-related personal data.
shop/redact: we delete all Store Data after uninstallation.

5. Free Trial

14 days from successful OAuth connection.
Maximum 3 monitored SKUs.
No payment required during trial.
Does not auto-convert to paid — explicit plan selection required.

Billing is via the Shopify Billing API (Manual pricing) only. Plan changes take effect at the next billing cycle. Payment failure triggers a 7-day grace period, then read-only mode until payment succeeds.

7. AI Agents and Recommendations

Agents monitor Store Data and generate Recommendations calibrated by your Risk Profile. Approving a Recommendation records your decision — it does not execute actions automatically. Rejection reasons may be used to improve the Service.

8. User Roles and Access Control

Owner: full access including billing and team management.
Approver: dashboards, Recommendation actions, audit log — no billing or invites.
Viewer: read-only dashboards.

Three failed access attempts within one hour triggers a 24-hour block with owner notification.

9. Acceptable Use

Use the Service only for your internal business operations. Prohibited: violating law, circumventing security, reverse engineering, scraping, malware, misrepresentation, or impairing infrastructure. Breach may result in immediate termination without refund.

10. Intellectual Property

We own the Service IP. You retain ownership of Store Data and grant us a limited licence to process it solely to provide the Service.

11. Data Protection and Privacy

Our Privacy Policy forms part of these Terms. You are the data controller for customer personal data in Store Data; we act as processor. A Data Processing Agreement is incorporated by reference.

We process personal data under UK GDPR, DPA 2018, and EU GDPR where applicable. Legal bases: contract, legitimate interests (security, audit, improvement), and legal obligation (Shopify webhooks). You handle customer data subject requests; we cooperate via compliance webhooks.

13. Confidentiality

We treat Store Data as confidential. Agent logic and algorithms are proprietary and not disclosed to clients.

14. Disclaimers and Limitation of Liability

The Service is provided "as is". We do not warrant Recommendation accuracy or availability. Our aggregate liability is capped at fees paid in the prior 12 months. We are not liable for indirect or consequential damages except where English law prohibits exclusion.

15. Indemnification

You indemnify us against claims arising from your breach of these Terms, violation of law, Store Data, or team member actions.

16. Term and Termination

You may terminate by removing the app from Shopify Admin. We may suspend or terminate for material breach, acceptable-use violations, insolvency, or legal requirement. On termination, sync stops and data is handled per the Privacy Policy.

17. Changes to the Service and These Terms

We may modify features or these Terms with notice by email and in-app posting. Continued use after effective date constitutes acceptance.

18. Governing Law and Dispute Resolution

Governed by the law of England and Wales. Courts of England and Wales have exclusive jurisdiction. Contact support@agentic-cart.com to resolve disputes informally first.

19. General Provisions

These Terms, the Privacy Policy, and DPA constitute the entire agreement. Severability, waiver, assignment, force majeure, and notice provisions apply as set out in the full Terms document.
